THIS AGREEMENT is made between  

• Sharyn Perfect – Kalani Inner Healing (“we” or “us” or “I” or “mentor”)  

• and    (“you” or “the client”). 

  We welcome the opportunity of working together with an ethos of “Get unstuck, step into you and shine!”

  By engaging Kalani Inner Healing it is understood that you are aiming for personal development, and self-help strategies for improvement in self and/or business. This letter is intended to set forth the understanding as to the nature and scope of the services we have agreed to perform for you, and the manner in which the fees for these services will be determined. Experience has shown that an understanding of these matters will contribute to a better working relationship between us, and that, in turn, makes our joined efforts more productive.

  Duty to Preserve Your Confidential Information.

  It may be necessary that you disclose information about yourself or your business that may be regarded as confidential. You agree to provide all information and materials necessary for Sharyn to perform her services. All information disclosed by you will be treated as confidential and this will not be disclosed to any persons outside Kalani / or the course that you are involved in, without your permission.

  Advice and Disclosure.

  I strive to serve my clients effectively and efficiently. Any opinions concerning the outcome of personal, or business matters are expressions of my best professional judgment but are not guarantees. You agree to disclose all pertinent facts and to keep me informed of all developments in these matters we discuss and that you are receiving coaching for. You also agree to cooperate fully with me and to be available to attend such meetings or conferences (by telephone or zoom) as we mutually agree is appropriate.

  Service Provision

  This agreement is bound from the date of payment of invoice and these terms shall stay in effect until terminated in accordance with the Agreement. I may require you to complete certain documents as part of the package. You agree to complete these documents and be as honest and open as you can in doing so. You agree to return the documents within the reasonable timeline stated by us. The relationship between us will be that of an Independent coach and client, as I provide services to you, and nothing in this agreement shall render me your employee, worker, agent or partner.

  Costs and Expenses.

  In addition to fees for services, additional charges may apply for pre-approved out-of-pocket expenses that have been advanced on your behalf, and internal charges for support activities.

  These are all discussed prior - no hidden surprises- examples include physical client workbook etc.

  Non-Payment of Fees and Costs.

  Failure to pay any invoice rendered when due will constitute a default. In the event of a default, you agree that at the discretion of Kalani Inner Healing, may immediately cease all coaching services on your behalf or discontinue coaching services to you (subject to ethical obligations and any other applicable provision of law).

  Questions about Billings.

  I encourage you to discuss with me any questions you may have about fees or billing statements. I want you to be satisfied both with the quality of my services and the fairness of the fees. I will attempt to provide as much billing information and in such customary form as you reasonably require.

  Termination.

  You have the right to terminate the coaching services provided to you under this Agreement by providing seven (7) days written notice via email to sharyn@kalani.au. You are not relieved of the obligation to pay for all services rendered and costs incurred prior to the receipt of such notice. Kalani has the same right to terminate our engagement, subject to an obligation to give you reasonable notice of such termination. We may terminate your access to the program for cause, including for non-payment, or for any violation of any term of this agreement. In the event of cancellation or termination for cause or without cause, your access to the program will be discontinued as you are no longer be authorised access to the program.

  Cancellation or change to the services policy

  Kalani Inner Healing has a NO refund policy.

  I am invested in your transformation during this process, and it is imperative to the success of the services that you are also committed, invested and fully engaged in the services for the duration of the program.

  It is our intention that we shall work collaboratively to an agreed schedule of sessions, dates and times for which will be agreed with you and myself. If you need to postpone or re-arrange a pre-booked 1:1 session, you agree to give minimum 48 hours’ notice. If no notice has been given, I reserve the right to charge a fee of $150 to reschedule that session. . I also undertake to provide a minimum of 48 hours’ notice, in the unlikely event that I need to reschedule a session with you.

  Responsibility

  Sharyn agrees :

  As the course facilitator,

• In every way that matters to you. I will bring attentive listening, understanding, and belief in you when you may have a hard time believing in yourself.

• You can expect me to offer fresh perspectives, make requests, suggest action steps, acknowledge your wins, and fully guarantee utmost confidentiality (of the law, and so long as I don’t fear for your or another’s safety) in our powerful, sacred coaching relationship.

• To hold all information disclosed in the coaching sessions in confidence.

• I will offer a system for accessing your capacity to create a life you LOVE!

  The Client agrees :

• You, as the client, agree that you are motivated and committed to taking action on your personal and professional goals. You realize that anything less than your intentional full participation will not lead to your success.

• You agree to accept full responsibility for yourself and any actions you take that might result from coaching.

• Arrive at session on time, regardless of whether it is held over the phone or on Zoom.

• Make payment on time and in accordance with the agreed schedule for payments.

• Be open and honest at all times for all the affects the personal outcomes and benefit.

• Know that there is no general right of termination under the agreement, and the payment is non-refundable under any circumstances.

• Ensure any changes (contact info, payment info, etc) are advised.

• You agree to hold in confidence any and all information learned about a coach or other participant, and this will not be shared with anyone outside the group you are working in.

  Limit of Liability.

  Under no circumstances shall I or my agents be liable for any direct, indirect, punitive, incidental, special, or consequential damages that result from the use of, or inability to use, the services and any applicable product(s) under this Agreement. Because some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, my liability in such jurisdictions shall be limited to the extent permitted by law. The maximum liability I have to any person, firm or corporation whatsoever arising out of or in the connection with the services provided under this Agreement shall in no case exceed the actual monetary value paid to Kalani Inner Healing by you for the services (and/or products) who’s use, or other employment gives rise to the liability.

  Indemnification.

  Upon a request by me, you agree to defend, indemnify, and hold me and my other affiliated companies harmless, and my employees, contractors, officers, and directors from all liabilities, claims, and expenses, including attorney’s fees, that arise from your breach of this Agreement or any of your obligations hereunder.

  Jurisdiction and Disputes.

  This Agreement shall be governed by the laws of the State of Queensland, Australia. You consent to the jurisdiction of such courts, agree to accept service of process by email, and waive any jurisdictional or venue defences otherwise available.

  Fees and Payment:

  Payment of fees will be due as discussed and agreed. An invoice will outline the agreement of costs and services provided. The invoice will represent the agreement of services. Payment of the invoice will act as confirmation of agreement.

  Refunds:

  From time to time Kalani Inner Healing will offer a “Money Back Guarantee” for select online events; I.E. the “Love it or your money back” program. Refunds through these programs are limited to one refund per person. If a money back guarantee is been claimed, the claimant is still able to attend any future events, however, will not be eligible or entitled to make a claim for a refund under the money back guarantee program offered with those events.

  Client acknowledgment

• I understand this is a Professional-Client relationship designed to facilitate the creation/development of personal, professional or business goals and to develop and carry out a strategy/plan for achieving those goals.

• I am responsible for bringing awareness of any medical conditions that may affect our coaching relationship or outcomes. If client is currently seeing a medical professional for mental health or other medical conditions a letter from said Doctor must be provided to confirm that coaching can be undertaken by the client at this time.

• I understand that personal growth is a comprehensive process that may involve all areas of my life, including work, finances, health, relationships, education, and recreation. I acknowledge that deciding how to handle these issues, incorporate coaching into those areas, and implement my choices is exclusively my responsibility. (past and present)

• I understand that session or programs do not involve the diagnosis or treatment of health, physical, mental or any other type of disorders. I understand this is not a substitute for counselling, psychotherapy, psychoanalysis, mental health care or substance abuse treatment and I will not use it in place of any form of diagnosis, treatment or therapy.

• I understand that I am attending sessions or courses for my own personal benefit and acknowledge that personal effort and input is required for benefits.

  • I am 100% responsible for all actions and non-actions.

  • I am 100% responsible for all results and non-results

  Your Agreement with Me.

  Your Agreement to my working with you (by ticking the box on the enrolment form , this agreement- acts as acknowledgement that you have read, and understood all the terms and conditions – and also acts as a personal signature) constitutes your acceptance of the foregoing terms and conditions. If any of them is unacceptable to you, please advise me now so that we can resolve any differences and proceed with a clear, complete, and consistent understanding of our relationship. Furthermore, you understand that by signing this agreement, you certify that no misrepresentation, false statements, fraud, intimidation, coercion, or duress were used to obtain this agreement.
